As a Registered Closed Ended Investment Fund, The PegasusBridge
Defence & Security Fund Limited may not offer its Shares directly to
any persons resident within the Bailiwick of Guernsey other than
persons regulated under any of Guernsey's financial services
regulatory laws. Consent under the Control of Borrowing (Bailiwick
of Guernsey) Ordinance 1959, as amended, has been obtained for the
raising of up to £100 million by the issue of Shares. To receive
such consent, application was made to the Guernsey Financial
Services Commission ("the Commission") under the Commission's
framework related to Registered Closed Ended Funds. Under this
framework, neither the Commission nor the States of Guernsey Policy
Council has reviewed this Prospectus but instead have relied upon
specific warranties provided by the Guernsey licensed Administrator
of the Company. Neither the Commission nor the States of
Guernsey Policy Council takes any responsibility for the financial
soundness of the Company or for the correctness of any of the
statements made or opinions expressed with regard to it
